Civil Liability of the Managing Partner in a Venture Capital Company in Jordanian Legislation

Abstract
Objectives: This research study was intended to talk about the provisions regulating venture capital companies in the Jordanian Companies Law No. 22 of 1997 and its amendments for the year 2023, to clarify the provisions of civil liability for the partner in the venture capital company and to determine the competent court to hear the partner's civil liability lawsuit and state its parties, in addition to clarifying the types of compensation established for the partner's responsibility. Methods: The descriptive approach was adopted by describing venture capital companies, and the analytical approach was adopted by analyzing the texts related to this type of companies and the provisions of responsibility imposed on the managing partner in them to arrive at useful results and recommendations in this regard. Results: The study is ultimately concluded with a number of results, the most important of which is that the managing partner has a contractual responsibility or liability for a harmful act due to him being a manager of the company and undertaking the issue of concluding contracts and other legal actions. He may also be held liable for the harmful act resulting from harm to others or to the partners themselves. Conclusions: This study also recommended that the Jordanian legislator should include detailed provisions regarding the partner's responsibility, whether the managing partner or the financing partner, in order to achieve the greatest general guarantee for the company's creditors and those dealing with it.
